The company's goal is to seek gains in economic activity. To achieve the advantages of the company must do good corporate governance. To achieve the corporate governance that will have an impact on public confidence. Introduced guidelines Good corporate governance of PT Badak Natural Gas Liquetfaction company that is not excluded to good corporate governance. In this case PT Badak Natural Gas Liquefaction refers to Law Number 40 Year 2007 regarding Limited Liability Company. This study aims to determine the application of good corporate governance at PT Badak Natural Gas Liquefaction associated with Law Number 40 Year 2007 regarding Limited Liability Company. This research was conducted using the method of juridical normative research specifications were used in this research is descriptive analysis that describes the legal review of the implementation of good corporate at PT Badak Natural Gas Liquefaction associated with the legislation in force and legal theories that support and analyze constraints that frequently arise in practice done by studying documents and interviews. Based on the survey results revealed that the legislation of the Republic of Indonesia, namely Law Number 40 Year 2007 regarding Limited Liability apparently not very effective to accommodate some of the principles of good corporate rules that will apply to limited liability companies. The limited company implements good corporate governance one of them is PT Badak Natural Gas Liquefaction. PT Badak Natural Gas Liquefaction is a company that is excluded by Law Number 40 Year 2007 regarding Limited Liability Company for a company that is not for profit. However, based on research by the author and the analysis has been done. PT Badak Natural Gas Liquefaction Applying the principles contained in the principle of good corporate governance in Law Number 40 Year 2007 regarding the company's limited, but if it has to meet all the provisions of Law Number 40 Year 2007 regarding the company Limited, PT Badak Natural gas Liquefaction not fulfill 100%. |

Tujuan perusahaan adalah untuk mencari keuntungan dalam kegiatan ekonomi. Untuk mencapai keuntungan perusahaan tersebut harus melakukan tata kelola perusahaan yang baik. Untuk mencapai kepada tata kelola perusahaan yang nantinya berdampak kepada kepercayaan publik. Diperkenalkan pedoman-pedoman Good corporate governance. PT Badak Natural Gas Liquetfaction suatu perusahaan yang tidak dikecualikan untuk melakukan tata kelola perusahaan yang baik. Dalam hal ini PT Badak Natural Gas Liquefaction merujuk pada Undang-undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Penelitian ini bertujuan untuk mengetahui penerapan tata kelola perusahaan yang baik pada PT Badak Natural Gas Liquefaction dihubungkan dengan Undang-undang Nomor 40 Tahun 2007 Tentang Perseroan Terbatas. Penelitian ini dilakukan dengan menggunakan metode yuridis normatif dengan spesifikasi penelitian yang dipakai dalam penelitian ini adalah deskriptif analisis yang menggambarkan kajian hukum terhadap penerapan good orporate pada Pt Badak Natural Gas Liquefaction dihubungkan dengan peraturan perundang-undangan yang berlaku dan teori-teori hukum yang mendukung serta menganalisis kendala-kendala yang sering muncul dalam praktik yang dilakukan dengan melakukan studi dokumen dan wawancara. Berdasarkan hasil penelitian diketahui bahwa Peraturan perundang-undangan Republik Indonesia yaitu Undang-undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas ternyata belum sangat efektif untuk mengakomodasi beberapa peraturan mengenai prinsip good corporate yang akan di terapkan oleh perseroan terbatas. Perseron terbatas yang menerapkan good coporate governance salah satunya adalah PT Badak Natural Gas Liquefaction. PT Badak Natural Gas Liquefaction adalah merupakan perusahaan yang dikecualikan oleh Undang-undang Nomor 40 Tahun 2007 Tentang Perseroan Terbatas karena perusahaan yang tidak mencari keuntungan. Namun berdasarkan penelitian yang dilakukan penulis dan analisis yang telah dilakukan. PT Badak Natural Gas Liquefaction Menerapkan semua prinsip yang ada dalam prinsip goood corporate governance dalam Undang-undang Nomor 40 Tahun 2007 tentang perseroan Terbatas, namun apabila harus memenuhi semua ketentuan yang ada dalam Undang-undang Nomor 40 Tahun 2007 tentang perseroan Terbatas, PT Badak Natural Gas Liquefaction belum memenuhinya sebesar 100%. |
