Abstract. Company assets are the most important part in the company because with assets, the company can continue to operate smoothly. Assets owned by the company also have a function to support the company's operations, not least the assets of the company have experienced a depreciation because they have a period that is old enough so the company intends to transfer these assets by selling them, asset sales are one of the solutions to save asset maintenance costs especially assets that are not functioning properly so that the Company makes a decision to sell. The sale of company assets is a very risky and high risk, therefore, the implementation is carried out by the Board of Directors as the leader of the company which was previously approved by the Shareholders. In selling assets, the Directors are required to implement duty of care in order to avoid the risk of losses suffered by the company. This study intends to find out whether the Board of Directors has implemented the duty of care as regulated by the Act. The method used in this study is normative juridical. The literature study data collection technique is done by collecting secondary data, and the research specifications used are descriptive analysis that clearly illustrates legal issues. It was concluded that the Directors have not implemented the duty of care in the sale of company assets.Keyword : Company Assets, Directors, Duty of CareAbstrak. Aset perusahaan merupakan bagian paling penting di perusahaan karena dengan adanya aset, perusahaan dapat terus beroperasi dengan lancar. Aset yang dimiliki oleh perseroan juga memiliki fungsi untuk menunjang operasional perseroan, tidak sedikit aset perseroan telah mengalami penyusutan nilai karena memiliki masa yang sudah cukup tua sehingga perseroan bermaksud untuk mengalihkan aset tersebut dengan menjual nya, penjualan aset merupakan salah satu solusi untuk menghemat biaya perawatan aset apalagi aset yang tidak berfungsi dengan baik sehingga Perseroan mengambil keputusan untuk menjual. Penjualan aset perusahaan merupakan hal yang sangat riskan dan beresiko tinggi oleh karena itu, pelaksanaanya dilakukan oleh Direksi selaku pemimpin perusahaan yang sebelumnya sudah di setujui oleh para Pemegang Saham. Dalam melakukan penjualan aset, Direksi diwajibkan untuk mengimplementasikan prinsip kehati-hatian agar dapat menghindari resiko kerugian yang dialami oleh perusahaan. Penelitian ini bermaksud untuk mengetahui apakah Direksi sudah melaksanakan prinsip kehati-hatian sebagaimana telah diatur oleh Undang-Undang. Metode yang di gunakan dalam penelitian ini adalah yuridis normatif. Teknik pengumpulan data studi kepustakaan yang dilakukan dengan cara mengumpulkan data skunder, serta spesifikasi penelitian yang digunakan bersifat deskriptif analisis yaitu menggambarkan secara jelas mengenai permasalahan hukum. Diperoleh kesimpulan bahwa Direksi belum melaksanakan prinsip kehati-hatian dalam penjualan aset perusahaan.Kata Kunci : Aset Perusahaan, Direksi, Prinsip Kehati-hatian
